01

Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "Customer") and Rolli LLC, a California limited liability company ("Rolli," "Company," "we," "our," or "us"), governing your access to and use of the Rolli platform, API, website (rolli.ai), and all related products and services (collectively, the "Services").

By accessing or using the Services, creating an account, clicking "I agree," or otherwise indicating acceptance, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use the Services. Enterprise customers may be subject to a separate Master Services Agreement (MSA), which controls in the event of any conflict with these Terms.

02

Description of Services

Rolli provides a real-time narrative intelligence platform that enables users to monitor publicly available social media data, detect inauthentic amplification, and analyze narrative patterns across multiple platforms. The Services include the Rolli IQ dashboard, the Rolli API, expert-journalist matching features, and related tools.

The Services access only publicly available data from social media platforms. Rolli does not access, collect, or process private user messages, private profiles, or any non-public content from any platform.

Features, functionality, and platform availability are subject to change. We will provide reasonable notice of material changes that affect your use of the Services.

03

License and Permitted Use

Subject to your compliance with these Terms and payment of applicable fees, Rolli grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the subscription term.

For Rolli IQ subscribers: your license is limited to the number of seats and usage credits specified in your subscription plan. For Rolli API users: your license is limited to usage within your authorized rate limits and quota as specified in your plan tier.

You may not: (a) sublicense, resell, or redistribute access to the Services; (b) use the Services to build a competing product or service; (c) remove or alter any proprietary notices; (d) reverse engineer, decompile, or attempt to extract the source code of the Services.

04

Prohibited Uses

You agree not to use the Services for any unlawful purpose or in any way that violates these Terms. Specific prohibited activities include:

Surveillance and targeting: Using the Services to surveil, track, or target specific private individuals; building profiles of private individuals for purposes unrelated to journalistic, research, or communications use cases; using signal data to facilitate harassment, discrimination, or harm to any person or group.

Platform integrity violations: Attempting to circumvent the access controls, authentication systems, or rate limits of the Services or of any third-party platform; using the Services to scrape, harvest, or aggregate data in ways that violate the terms of service of any social media platform.

Disinformation and manipulation: Using the Services to facilitate, plan, or execute coordinated inauthentic behavior; using authenticity intelligence outputs to improve or optimize influence operations, astroturfing, or synthetic amplification campaigns.

Commercial misuse: Reselling, sublicensing, or otherwise providing third parties with access to the Services without Rolli's written permission; using the API in any product or service that competes with Rolli without prior written authorization.

Rolli reserves the right to suspend or terminate access for any violation of these prohibitions without notice.

05

Accounts and Security

To create an account you must: (a) be at least 16 years of age; (b) provide accurate, current, and complete registration information; (c) be authorized to act on behalf of any organization you register; and (d) agree to keep your account information up to date. The Services are not directed to individuals under 16, and we do not knowingly allow such individuals to register.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must not share your credentials with any third party not authorized under your subscription plan. You agree to notify Rolli immediately at security@rolli.ai of any unauthorized use of or access to your account.

Rolli reserves the right to terminate accounts, remove content, or cancel subscriptions at our discretion, including for violation of these Terms, non-payment, or conduct that we believe harms Rolli, our users, or third parties.

06

Payments and Subscriptions

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by applicable law. All new subscribers are entitled to a 30-day money-back guarantee on their first payment — if you are not satisfied, contact billing@rolli.ai within 30 days of your initial subscription start date for a full refund. This guarantee applies once per customer and does not apply to renewals.

Prices are subject to change with 30 days' notice. If we increase prices for your current plan, we will notify you by email and the change will take effect at your next renewal. If you do not agree to the price change, you may cancel before the renewal date.

Failure to pay may result in suspension of your account. Past-due balances accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

07

Data and Privacy

Your use of the Services is subject to our Privacy Policy, available at rolli.ai/privacy, which is incorporated into these Terms by reference.

You retain all rights to data you submit to the Services. You grant Rolli a limited license to process your data solely as necessary to provide the Services to you. Rolli will not use your data for purposes beyond service delivery without your consent.

Enterprise customers may request a Data Processing Agreement (DPA) for GDPR compliance purposes by contacting legal@rolli.ai.

08

Intellectual Property

The Services, including all content, software, algorithms (including Rolli IQ™), models, trademarks, logos, and documentation, are the exclusive property of Rolli LLC or its licensors and are protected by United States and international intellectual property laws.

The Rolli IQ™ authenticity intelligence algorithm, its underlying methodology, and the Rolli API specifications are proprietary to Rolli LLC. These Terms do not transfer any ownership rights to you.

Feedback you provide about the Services may be used by Rolli without restriction or compensation to you.

09

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Rolli does not warrant that the Services will be uninterrupted, error-free, or completely secure. Social media data accessed through the Services is sourced from third-party platforms; Rolli does not warrant the accuracy, completeness, or timeliness of such data. Platform availability and API access depend in part on third-party platform policies that are outside Rolli's control.

Signal intelligence, narrative analysis, and authenticity scores provided by the Services are analytical outputs intended to inform human decision-making. They should not be treated as definitive determinations of fact and should always be reviewed by qualified professionals before being acted upon.

10

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ROLLI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES.

ROLLI'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO ROLLI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Rolli has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

11

Indemnification

You agree to defend, indemnify, and hold harmless Rolli and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law or third-party right; or (c) any content you submit, post, or transmit through the Services.

12

Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or related to these Terms will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, except that either party may bring claims in small claims court. YOU AND ROLLI WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LITIGATION.

For users in the European Union or United Kingdom, nothing in these Terms limits your rights under applicable consumer protection law or your right to bring claims before your local courts.

13

Termination

Either party may terminate these Terms at any time. You may cancel your subscription by following the cancellation instructions in your account settings or by contacting billing@rolli.ai. Rolli may suspend or terminate your access for material breach of these Terms, non-payment, or conduct that poses risk to the Services or other users.

Upon termination, your right to access the Services ceases immediately. Sections that by their nature should survive termination will do so, including Sections 8 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 12 (Governing Law).

14

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by posting the updated Terms on this page and sending an email to your registered address. Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the changes.
